Fredrik primarily provides dispute resolution and advisory services within company law and securities law, as well as insurance law and law of torts. Within insurance law and law of torts, he specialises in directors’ and auditor liability, as well as M&A-disputes. Experienced in transactions and financial regulatory framework conditions, he also provides dispute resolution and advisory services to the banking and finance industry. He has several years of experience as an in-house lawyer in banking/investment banking. In addition, Fredrik holds a Master of Business & Economics with a business law, tax and accounting specialisation.

Selected projects
Assistance to the board members of Bergen 2017 AS – the event arranger for the World Cycle Championship in 2017. The bankruptcy estate eventually forfeited its claim against them. In September 2017 the World Cycling Championship was held in Bergen, Norway. Following the event the company arranging it, was declared bankrupt. The estate and many of the creditors have made D&O claims against the former board members and the managing director of Bergen 2017. In addition direct action claims have been made against the D&O Insurer AIG. Wiersholm represent them all, and have denied the claim. After extensive exchange of arguments between Wiersholm and the estate, the estate forfeited their claim.
Assistance to Intrum Justicia in connection with the sale of its business in Norway to Lowell. Lindorff AB entered into an agreement with Lowell to sell Lindorff Sverige AB and RemCo Management Services AS (together constituting Lindorff’s businesses in Denmark, Estonia, Finland and Sweden as well as Intrum Justitia’s business in Norway) on 2 November 2017. The sale agreement was specified by the European Commission as a condition of the combination of the Intrum Justitia and Lindorff companies, a transaction in which Wiersholm assisted as well. Wiersholm assisted with the due diligence of Intrum Justitia AB's subsidiaries in Norway. Lowell is one of Europe’s largest credit management companies, currently with operations in the UK, Germany and Austria.
Advised Insr Insuance Group ASA on its acquistion of Nemi Forsikring AS from the Danish company Alpha Insurance A/S. The transaction included a subsequent merger between Insr Insuance Group ASA and Nemi Forsikring AS. Wiersholm advised Insr on all legal aspects of the transaction, including structuring and strategic advice, due diligence, negotiating and drafting of the SPA and related transaction agreements, separation issues, applications to the Norwegian FSA and Norwegian Competition Authority and financing of the transaction. The transaction was a combination of two insurance companies and one of the first insurance transactions completed after implementation of the Solvency II directive. The transaction was financed in the capital market by way of a private placement of MNOK 400 and the issuance of consideration shares, both of which necessitated a prospectus and related capital market activities. Wiersholm's advice involved assistance in connection with the separation of Nemi from the Alpha group of companies, a process which raised challenges relating to split of joint reinsurance programmes.
Defends BDO against a NOK 600 million claim made against them by the bankruptcy estate of Reinertsen, an oil and gas construction firm. BDO was the appointed auditor of Reinertsen AS from the late 1990'ies. In late 2016 the company was declared bankrupt. After almost three years, the bankruptcy estate made claims against BDO in early 2019 for altogether NOK 600 million for allegedly negligent auditing and advise between 2008 to 2016. The bankruptcy estate has made similar claims against the former board members of the company, which in turn has made notifications of possible recourse claims of the same amounts against BDO. BDO denies the allegations in their entirety. Wiersholm represents BDO in all respects of the claims made against them. The matter is factually and legally quite complex. BDO was sued in the first of the disputes in March 2020. If a lawsuit is taken out also for the second of the disputes, this may be the largest defence case for our department in 2020.
